LEGAL DISPOSITIONS 

1) All legal relationships between ENTRE LES LIGNES BV, incorporated in Belgium, with registered office at Karmelietenstraat 163, 1180 Ukkel, Belgium, registered in the Crossroads Bank for Enterprises number 0526.935.573 and VAT number BE 0526.935.573, register of legal entities (RLE) Brussels (Dutch courts) (hereinafter referred to as ‘ENTRE LES LIGNES’), and the client are governed by these terms and conditions. 

As an independent service provider, ENTRE LES LIGNES offers various services to its clients such as (sworn) translation services, copywriting services, editing services, subtitling services, etc. 

Deviations are only enforceable if ENTRE LES LIGNES has accepted those explicitly in writing. 

These terms and conditions are deemed fully part of the quote. In the event of a conflict between the specific terms of the proposal and the provisions of these terms and conditions, the specific terms of the proposal shall prevail. 

Insofar the client uses general terms and conditions for its suppliers or service providers, they are explicitly excluded. 

ENTRE LES LIGNES reserves the right to change these terms and conditions at any time. The amended version will only apply to current agreements if the new terms are accepted by the client. These terms and conditions were last updated on 25 January 2026. 

2) A quote sent by ENTRE LES LIGNES is only an invitation to contract with ENTRE LES LIGNES and is only addressed to the person/persons mentioned on the proposal. A proposal is valid for the period mentioned on the proposal itself, or if not mentioned explicitly, for fifteen (15) calendar days after the date of the proposal. ENTRE LES LIGNES reserves the right to rectify errors in the proposal or withdraw a proposal before its acceptance by the client. The proposal is based on the information given by the client. 

3) An agreement shall be concluded only after the written confirmation of ENTRE LES LIGNES regarding receipt of the acceptance of the proposal by the client. However, ENTRE LES LIGNES has the right not to execute any services until the requested advance, if applicable, has been transferred to the bank account of ENTRE LES LIGNES. 

Any additions or other changes to the assignment are only valid after written confirmation of ENTRE LES LIGNES. Evidently, these changes may also have an impact on the cost. 

By accepting the proposal, the client acknowledges being fully informed about all aspects of the services. 

4) ENTRE LES LIGNES is committed to protect personal data in accordance with the applicable data protection laws. In this respect, ENTRE LES LIGNES refers to its privacy policy, which can be consulted on ENTRE LES LIGNES’s website www.ell.agency. which is deemed fully part of these terms and conditions. The privacy policy can also be obtained at first request. 

If ENTRE LES LIGNES would process personal data on behalf of the client, parties will sign a data processing agreement. 

The client authorizes ENTRE LES LIGNES to use its trade marks, such as name and logo, and the general client case in the context of promotional activities. The client may at any time object to the same, after which the client name and logo and/or the client case description  will be removed immediately. 

5) If, at any point after its acceptance and launch, the client cancels all or part of a specific assignment or a fixed-term contract, payment is required for the executed works and also 50% of the non-executed services, except where such withdrawal is justified following these terms and conditions and/or mandatory legal provisions. As such the client is required to pay for the originally agreed fees and will pay all costs ENTRE LES LIGNES already made or agreed with external parties to fulfill the services. ENTRE LES LIGNES is entitled to consider postponing an assignment for more than three (3) months  as a cancellation of an assignment. 

For consumers: If ENTRE LES LIGNES would cancel the assignment after concluding the contract, ENTRE LES LIGNES will pay a comparable compensation. 

For consumers with whom a distance contract is agreed: the client shall have a period of 14 calendar days after conclusion of the contract to withdraw from the contract without penalty and without giving any reason for doing so. The client should inform ENTRE LES LIGNES by submitting the withdrawal form in annex, by way of a written notification to the ENTRE LES LIGNES registered office at Karmelietenstraat 163, 1180 Ukkel, Belgium or by email through team@ell.agency. If your request has been accepted ENTRE LES LIGNES shall refund all payments received within a maximum of fourteen (14) calendar days of the date of the withdrawal notification and will inform the client accordingly by email. The client will not be able to execute this right of withdrawal for contracts that have been fully executed at the client’s express request before the client exercises his right of withdrawal with the client’s acknowledgement that he will lose his right of withdrawal once the contract has been fully performed. 

6) Execution deadlines shall be indicative, unless agreed otherwise in writing. Changes to the contract automatically result in any agreed deadlines being canceled. The delivery times mentioned in the proposal are subject to availability of ENTRE LES LIGNES. Parties will discuss the final deadline upon conclusion of the contract. 

7) ENTRE LES LIGNES is committed to carry out the assignment with reasonable care. ENTRE LES LIGNES cannot be held liable for errors, negligence or any other infringements dated before its intervention. The parties have not agreed to any exclusivity. As an independent service provider, ENTRE LES LIGNES can determine the way of execution at its full discretion and so as it deems fit. ENTRE LES LIGNES will use its own infrastructure and materials unless agreed otherwise. 

ENTRE LES LIGNES is not an employee of the client; however, ENTRE LES LIGNES will respect the general guidelines of and strategic decisions made by the client if needed. 

ENTRE LES LIGNES cannot be held liable for acts of or negligence by non-subcontractors of ENTRE LES LIGNES, even if ENTRE LES LIGNES recommended those third parties. For the avoidance of doubt: ENTRE LES LIGNES will also not make any payment to such third parties. 

ENTRE LES LIGNES may subcontract this agreement without any further prior approval of the client. If the client would request for specific qualifications/experience, ENTRE LES LIGNES will ensure the relevant subcontractor had such specific qualifications/experience. 

8) Both parties will respect the confidentiality of this agreement and the assignments and both parties will use the information exclusively for the execution of the assignment. Such obligation to keep the information confidential and such obligation of restricted use will be valid during the term of this agreement and for five (5) years after termination of the agreement. For the avoidance of doubt: any glossaries, translation memories made in the context of this agreement will not be deemed confidential information. 

This confidentiality obligation will not apply to information of which can be proven: 

  • the breaching party already had the confidential information in its possession on the moment of receipt; or
  • the information concerned is/became public information; or
  • the information was received by a third party with no confidentiality obligation. 

When a party relies on subcontractors to execute a contract, subcontractors will also have to adhere to a confidentiality agreement before receiving the confidential information. Parties may enter into a separate confidentiality agreement if deemed appropriate. 

9) In order to ensure the correct and timely execution of the assignment(s), the client agrees to cooperate with ENTRE LES LIGNES and to provide all reasonably necessary information in due time, whether or not this information is explicitly requested by ENTRE LES LIGNES such as but not limited to the text to be translated, what languages etc. ENTRE LES LIGNES cannot be held liable, and the client may not leave (part of) the invoice unpaid, due to incorrect or incomplete information of the client. If extra services are required due to erroneous or incorrect information, an additional invoice will be issued for the same. ENTRE LES LIGNES is in such case also entitled to suspend the execution of the agreement/assignment until all and/or the correct information is received. 

In case ENTRE LES LIGNES needs to handover certain activities to the client or a third party appointed by the client, these services will also be invoiced. 

10) If the agreement was concluded with several persons or the client has multiple contact persons, ENTRE LES LIGNES is entitled to act on the instruction of any one of those persons, unless agreed otherwise. 

11) ENTRE LES LIGNES explicitly reserves the right to suspend or terminate the agreement, without judicial intervention, at any time, without notice, without notice period or compensation, in case of reasons preventing professional cooperation, such as: 

– the client breaches its obligations set out in these terms and conditions and/or the proposal or any other agreements between parties, and the breach has not been remedied within five (5) days after written notification of such breach,

– in case of a material breach by the client of its obligations set out in these terms and conditions and/or the proposal or any other agreements between parties such as not paying two (2) consecutive invoices or breach of the non-solicitation clause,

– in case of bankruptcy, death, incapacity, amicable or court-ordered liquidation, cessation of payment, receivership, collective debt settlement, and any other fact indicating the insolvency of the client. 

The suspension or termination based on the aforementioned reasons will be notified in writing by ENTRE LES LIGNES.

As a consequence of the termination of the agreement all invoices will become due and payable and all permitted payment conditions will be canceled. In case of termination of the agreement due to the client, all originally agreed fees for the executed services and agreed budget will in any case become immediately immediately payable, as well as 20% of the agreed fees for the agreed non-executed services (if no budget has been pre-agreed), as well as all costs ENTRE LES LIGNES already made or agreed with external parties to fulfill the services, without prejudice to ENTRE LES LIGNES’s right to claim reimbursement of the damages and costs actually incurred. 

12) The client agrees to review the requested services periodically and as agreed between parties. If needed, the client will amend its general instructions in due time. Please note that the filing of complaints does not affect any (interim) payment obligation. 

All documents, correspondence and negotiations between ENTRE LES LIGNES and the client should be deemed an indispensable tool to allow performing the services in accordance with the agreement and not as the expression of any relationship of authority between ENTRE LES LIGNES and the client. 

Neither party shall, under this agreement, receive any right, power or capacity to act as an employee, agent or representative of the other party, for any purpose whatsoever, or to legally bind the other party in any way, without the prior consent of the other party. 

13) ENTRE LES LIGNES will respect the intellectual property rights of the client. ENTRE LES LIGNES will retain all copyrights and other intellectual property rights, or usage rights, on all its works, documents and materials, including texts, drawings and notes, invoiced or not. The intellectual property of ENTRE LES LIGNES includes translation memories and glossaries made in the context of the execution of the Services. The client accepts a limited right of access, use and display, in accordance with the agreed objectives and goals of any deliverables (being the end results, not the databases, memories, glossaries). Without explicit consent of ENTRE LES LIGNES, nothing can be disclosed or may be used otherwise. The rights given are non-exclusive and are not transferable or sub-licensible. The client is also responsible for any unauthorized use by third parties due to its involvement. 

If the client would share materials, such as texts or pictures, the client guarantees that its use does not infringe any intellectual property rights of third parties. In case of any such infringements client will fully indemnify ENTRE LES LIGNES. 

ENTRE LES LIGNES reserves the right to use the documents and materials sent to the client for publicity purposes and general information, if necessary, anonymised. 

14) Unless otherwise agreed, the fees are mentioned in EURO, normally excluding VAT but including VAT for consumers, and other taxes and any other additional costs such as travel expenses, legalisation costs, costs for overseas phone calls. 

ENTRE LES LIGNES may request an advance before executing the agreement. Invoices will be sent after finalisation of the assignment, unless parties have agreed otherwise in writing. 

ENTRE LES LIGNES reserves the right to invoice finalized milestones at every end of the month in the case of projects that spread over several months.

The invoiced amounts are to be paid on the bank account of ENTRE LES LIGNES as mentioned on the invoice, without a discount, within fourteen (14) days after the invoice date. 

The client shall bear the exchange rate risks and costs related to international transfers (if applicable). 

Invoices can only be objected to in writing by way of a registered letter within fourteen (14) days after the invoice date and indicating the invoice date, invoice number and detailed justification. 

If the invoice is not objected within the aforementioned period, the invoice is deemed to have been accepted by the client. 

In case an invoice is addressed to several persons, they are all jointly and severally liable for the payment of the invoice. 

For enterprises:

For any invoice not paid in whole or in part by its due date, default interests will be charged ipso jure and without prior formal notice at the rate referenced in the legislation related to late payments in a business to business context (wet van 2 augustus 2002 betreffende de bestrijding van de betalingsachterstand bij handelstransacties). 

Without prejudice to the foregoing and without formal notice, ENTRE LES LIGNES reserves the right to demand a lump sum of 10% of the unpaid amounts, with an absolute minimum of hundred fifty euro (€150,00), without prejudice to claim compensation for higher damages. 

For consumers: 

For any invoice not paid in whole or in part by its due date, ENTRE LES LIGNES will send the client a free formal notice. After at least fourteen (14) calendar days after the third day after sending the notice to the client, or after at least fourteen (14) calendar days counting from the day after the day on which the formal notice has been sent to the client by email, ENTRES LES LIGNES is entitled to late payment interests at the rate referenced in the legislation related to late payments in a business to business context (wet van 2 augustus 2002 betreffende de bestrijding van de betalingsachterstand bij handelstransacties) on such unpaid amounts. 

Moreover, ENTRE LES LIGNES is entitled to a fixed lump sum: 

  1. a) 20 euro if the unpaid amounts are lower than or equal to 150 euro;
  2. b) 30 euro plus 10% of the unpaid amounts between 150,01 and 500 euro if unpaid amounts are between 150,01 and 500 euro;
  3. c) 65 euro plus 5% of the unpaid amounts above 500 euro with a maximum of 2000 euro if the unpaid amounts are higher than 500 euro.

Moreover, all other invoices will become due and payable and all permitted payment conditions will be forfeited. 

15) ENTRE LES LIGNES’s obligations are obligations of means, unless agreed otherwise between parties or if this would not be in accordance with the nature of the assignment. 

ENTRE LES LIGNES’s liability, contractual and extra contractual, is limited to the fees paid for the specific assignment/project. If the judge would deem this clearly unreasonable, ENTRE LES LIGNES’s liability, contractual and extra contractual, shall be limited to the amount paid  by its professional liability insurance(s). If, for whatever reason, the insurance does not pay for ENTRE LES LIGNES’s errors or negligence, ENTRE LES LIGNES’s liability, contractual and extracontractual, will be always limited to two (2) times the fees paid for the specific assignment. 

ENTRE LES LIGNES shall never be liable for loss of expected profits, goodwill, trading opportunities or expected benefits or savings, nor shall ENTRE LES LIGNES be obliged to compensate for (other) indirect or consequential damages such as but not limited to damages to third parties. 

ENTRE LES LIGNES shall not exclude its liability in case of fraud, wilful misconduct  or in case applicable laws or regulations would impede such limitations. 

Client agrees that in case of coexistence of a contractual and extra contractual claim for the same event (“samenloop”), ENTRE LES LIGNES may only be held liable on a contractual basis, except in the case of claims resulting from damage to physical or psychological integrity or intentional error, or other legal exceptions of mandatory law or public order.

ENTRE LES LIGNES’’s assistants (“hulppersonen”, including but not limited to directors, subcontractors, employees) cannot be held directly liable on an extra contractual basis, except in the case of claims resulting from damage to physical or psychological integrity or intentional error, or other legal exceptions of mandatory law or public order. This all without prejudice to the provisions regarding directors’ liability and the legal limitation of liability of employees. In case ENTRE LES LIGNES would be a subcontractor of client, client shall agree the same with its clients and ENTRE LES LIGNES is entitled to ask proof of this arrangement. 

Without prejudice to mandatory legal provisions or provisions of public policy, any action brought against ENTRE LES LIGNES should be brought to court within one (1) year after the alleged error or negligence is discovered, or could reasonably be discovered. 

ENTRE LES LIGNES cannot be held jointly and severally or in solidum liable with any third party and/or the client. 

The client will indemnify ENTRE LES LIGNES for any third-party claim related to or arising from the contract as a result of its error or omission. 

Furthermore, force majeure situations may occur. The following situations will in any case be deemed force majeure events: electronic malfunctions, natural calamities, fire, war, sickness of more than one third of the subcontractors usually performing the services on behalf of ENTRE LES LIGNES and employees of ENTRE LES LIGNES the non-functioning or malfunctioning of software used by ENTRE LES LIGNES such as Crowdin, Slack, Gmail, Notion. ENTRE LES LIGNES cannot be held responsible for delays or deficient performance following such force majeure events. ENTRE LES LIGNES will inform client in writing of such a force majeure event. 

16) The client is not allowed to transfer (part of) this agreement to a third party without the explicit written approval of ENTRE LES LIGNES. 

17) During the term of this agreement and for a period of six (6) months thereafter, the client agrees not to, directly or indirectly, in any capacity (employee, independent service provider, shareholder, director, agent, intermediary etc.), whether or not for its own account, entice away or endeavor to entice away any (former) employee or subcontractor of ENTRE LES LIGNES or any of its affiliates with whom the client was in contact in the last twelve (12) months, without the prior approval of ENTRE LES LIGNES. In case the client breaches this article, the client will in any case be required to pay a fixed compensation of twenty-five thousand euro (€25.000), without prejudice to the right of ENTRE LIGNES to claim compensation for higher damages. Parties agree this is a reasonable request. In case the clauses would be deemed to be too broad, the clauses will not be deemed void or invalid, but will be limited so the scope of the clauses is acceptable following the applicable laws and jurisprudence. 

18) In the event that any one or more of the provisions contained in these terms and conditions shall be held to be void, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby. In the event that any one or more of the provisions shall be held to be void, the client and ENTRE LES LIGNES will replace the void provision(s) by (an) equivalent provision(s) with the same general spirit. 

19) The agreement between ENTRE LES LIGNES and the client is governed by Belgian laws. In case of disputes only the courts of the registered office of ENTRE LES LIGNES (Dutch courts) will have exclusive jurisdiction.

ESTIMATES

Quoted estimates are subject to adjustment based on actual project workload, with final billing reflecting the initially quoted metrics. Clients will be notified of any deviations from the estimated rates as of an increase of 10% relative to the original quote.

FORMAT and LAYOUT

Translations are delivered in the client’s original format when editable. Additional charges apply for converting non-editable formats and for specialized layout services.

STYLE PREFERENCES AND TONE OF VOICE

The client understands that specific style preferences and tone of voice can only be respected if the client shares with Entre les lignes a clear briefing, editorial style guide and/or terminology list. Entre les lignes offers the possibility of creating such style guides and terminology lists.

 

EDITS AFTER DELIVERY

Edits after delivery are not included in the quote unless agreed otherwise. 

DISCOUNTS

Discounts are applied for repeat text segments, contingent on compatibility with our Translation Memory System, Crowdin. Discounts depend on the analysis performed by Crowdin.

TRANSLATION MEMORIES

Translation memories created for clients remain the property of Entre les Lignes. While these aid in consistent translation for repeat content, they are not shared with clients unless agreed upon.

LEAD and DELIVERY TIME

Delivery times of a project shall always be agreed upon with the client at the confirmation of the quote. Entre les lignes’ average response times are from 4 to 12 hours. Processing time of projects depends on the volume and scope.

Entre Les Lignes determines the purposes and means of the processing of personal data. 

This privacy policy is as such applicable to Entre Les Lignes acting as a data controller for the processing of data of clients, website visitors, visitors of our social media, prospects, providers and other business partners. 

Entre Les Lignes is committed to process your personal data, information by which you may be identified, with care, to take the appropriate measures to prevent misuse, loss, unauthorised access, unwanted disclosure and unjustified modification and any other unauthorised processing.

Entre Les Lignes processes your personal data taking into account the following principles mentioned in the applicable laws: fairness, lawfulness, transparency, purpose limitation, data minimisation, accuracy, storage limitation, integrity and confidentiality. 

By way of this privacy policy Entre Les Lignes would like to inform you of: 

  • what and how personal data is collected; 
  • for what purposes your personal data is used as well as the legal basis;
  • how the personal data is protected;
  • to whom we disclose your personal data;

  • Documents and other information shared in the execution of the project – which would be processed as a controller and not as a data processor; 
  • Bank account details such as bank account number and payment information (for clients only). 


Category 2: For what concerns the processing of personal data of (the contact persons of) subcontractors: 

  • Generic personal data: first name, last name, address, phone number(s), email address, and function;
  • Detailed professional data:  Curriculum Vitae (CV) and/or work/competencies overview;
  • Personal data you would share with us in the context of the execution of a project or other communication between us; 
  • Communication records: We retain records of your interactions with our support team and clients;
  • Bank account details such as bank account number and payment information (for clients only). 


Category 3: For what concerns the processing of personal data of (contact persons of) visitors of the

  • Technical and analytical data: We use cookies and tracking technologies to collect behavioural data such as page views, click paths, and session duration.   • Marketing preferences and info: For newsletter purposes we store your first name, last name and email address and other details received from our mailing provider such as whether or not you opened the email. We may also process marketing cookies after your consent;

  • Information you provide to us in this context, e.g. a specific question submitted in preparation for the event;
  • It is possible that photo and video material will be taken during the event;
  • You may also provide a review;
  • Where applicable, bank details (if the event is a paid event).


Category 6: For what concerns the processing of personal data of participants in an Entre Les Lignes competition or survey:

  • General personal data: first name, last name, telephone number and email address, job title, company name and potentially address;
  • Information you provide to us in this context, such as answers to the questions.

In this context Entre Les Lignes is also referring to its Cookie Policy.

As such you may have submitted your personal data to Entre Les Lignes through our website, by emailing us or in any other way.

Entre Les Lignes uses your personal data to be able to communicate with you on the products and services you offer and so in general for proper provider and business contact management. Data of subcontractors is only shared with clients after explicit written approval.

Entre Les Lignes’s app or website may contain links, plug-ins to external websites. If you transfer your personal data to those websites, the privacy rules of such websites apply, and those parties will act as the main controllers. 


Whom is Entre Les Lignes disclosing your personal data to?

Entre Les Lignes only discloses your data to external providers who help Entre Les Lignes execute the services e.g. subcontractors, IT-providers, hosting, payment processors, accountant.  

The data of subcontractors can, after explicit written approval, be shared with clients in the context of tenders and confirmed projects. 

Entre Les Lignes will not sell, rent, distribute or otherwise commercially exploit your personal data, except as described in this privacy policy. 

Entre Les Lignes will make the necessary arrangements with them (such as the conclusion of a data processing agreement). They will only receive the personal data needed to execute their services and may only use the data to execute their services. However, for what concerns the processing of data by payment providers we also refer to their privacy policy and terms. 

Entre Les Lignes may transfer or assign its rights and obligations, in whole or in part, to an affiliate or to any third party in connection with a merger, acquisition, corporate reorganisation, or sale of assets, without prior notice. In such context, it is likely that we also transfer your personal data to new owners. Entre Les Lignes shall ensure that any transfer of personal data is carried out in compliance with applicable data protection legislation, and that appropriate safeguards are implemented to protect users’ personal data. You will be informed of any such transfer of their personal data where required by law.

Is your personal data transferred outside of the EEA?

Entre Les Lignes may transfer your personal data to other countries. In principle Entre Les Lignes is transferring your personal data outside of the EEA based on an adequacy decision or by using the standard contractual clauses as approved by the European Commission. 


How long does Entre Les Lignes store your personal data?

Entre Les Lignes will not store your personal data longer than necessary. 

Personal data of prospective clients and business contacts are deleted six (6) months after the last contact. 

The data of clients, providers and subcontractors will be retained up to three (3) years after termination of the agreement. 

If you subscribed to a newsletter, Entre Les Lignes will retain your personal data until you unsubscribe. 

In the context of participation in seminars, webinars, competitions, and surveys, we retain your information for up to one (1) month after the relevant participation.

Furthermore, Entre Les Lignes stores the personal data to comply with the legal provisions such as the fiscal provisions related to the storage of data. In this context Entre Les Lignes may process the data for seven (7) years after the first of January of the following year. 

Entre Les Lignes is also retaining the necessary details to protect its rights in case of claims (e.g., ten (10) years for contractual liability). 

We also refer to the retention periods mentioned in our Cookie Policy. 


What rights do you have?

You have several rights: 

  • Right to access and right to obtain a copy

At any time, you can request to access your personal data.

Entre Les Lignes will then send you a free copy within a reasonable time. 

  • Right to withdraw consent, rectify, erase and restrict 

Furthermore, you can request to rectify or erase your personal data or to restrict the processing (such as in case Entre Les Lignes is checking on the correctness of your personal data) or withdraw your consent related to the use or processing (if applicable).

In certain circumstances you may object to the processing if you have sound and lawful reasons to do so. Such as in the context of direct marketing.

Applicable laws and jurisdiction

Belgian laws, especially the General Data Protection Regulation and the supplementing Belgian legislation, apply to this privacy policy and the processing of the personal data.

Preferably all complaints will be handled in an amicable way. If this would be impossible, for all complaints following this privacy policy and the processing of your personal data the courts of the district of the registered office of Entre Les Lignes will have exclusive jurisdiction, unless applicable laws would prohibit.
